An example of the content is: Joint Ventures Distinction between partnership and joint venture is not easy to discern. The distinction between an association of persons who engage in a common undertaking for profit and an association of those who do so in order to generate a product to be shared among participants. Joint ventures are usually one off. Halsburys Laws of Australia vol 19 says that JV’s can be distinguished on the following bases; 1.) The ‘carrying on’ of a business suggests continuity 2.) The product is usually sold separately and not in common; 3.) The participants take shares of the product and do not share profits; 4.) Ownership of assets is maintained by the contributing participants; 5.) The activities of a JV are carried out by a separate manager/operator and not by the participants; and 6.) The manager acts as agent for each participant severally.
