Tom (“T”) and Vicky (“V”) met an agreement with Tom to sell the land besides the river, which depending on the approval of the subdivision was given. Then T made a land sale contract with Simon (“S”) who is Vicky husband. However, when T started building works, V noticed T to vacate the property by the reason that the application for the subdivision was refused. In order to advise T whether V breached a contract for the sale of land or whether V was estopped from denying T the rights to buy the land beside the river. We should be to determine whether a contract exists depending on fulfilling condition precedents. Finally, promissory estoppel issue will be discussed as the contract termination or no existence
