Corporations are artificial legal entities, distinct from the individual people who own them or work for them. Section 51(xx) gives the Commonwealth Parliament the power to legislate with respect to certain kinds of corporations, namely ‘trading and financial corporations formed within the limits of the Commonwealth’, and ‘foreign corporations’. Our study of section 51(xx) will focus on three questions: (1) what are ‘trading and financial corporations formed within the limits of the Commonwealth’? and (2) what power does the Commonwealth have with respect to those corporations? (3) What power does the Commonwealth have with respect to persons who are not constitutional corporations? The second of these questions was at the heart of the WorkChoices Case (NSW v Commonwealth [2006] HCA 52) — one of the most significant political and constitutional cases of the decade. Classes 6 and 7 will focus entirely on that case and, rather than reading an extract of that case, we will be reading almost the entire judgment of the majority in that case.
